1. Scope

These Terms and Conditions (“Terms”) govern all services provided by Guha Innovation Lab UG (haftungsbeschränkt), including but not limited to software development, consulting, digital services, and access to any platforms, code, or digital products created by us.

By accessing our services, entering into a contract, or using our deliverables, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

3. Services

We provide software development and consulting services based on a written agreement or project scope. This may include:

• Custom software and application development
• UX/UI design
• Technical consulting and architecture
• Maintenance and updates
• Hosting and deployment (if applicable)

Any change in the scope of work must be agreed upon in writing.

4. Quotation & Payment

Unless otherwise agreed:

• Quotes are valid for 30 days
• All prices are net amounts and exclude VAT (if applicable)
• Payment terms are 14 days net from the invoice date
• Late payments may incur interest per §288 BGB (German Civil Code)

5. Intellectual Property

Unless otherwise agreed:

• All intellectual property (IP) created during a project remains the property of Guha Innovation Lab UG until full payment is received
• Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables for the agreed purpose
• Use beyond the agreed scope (e.g., resale, sublicensing) requires prior written consent

6. Client Responsibilities

You agree to:

• Provide all necessary information, feedback, and access in a timely manner
• Ensure that all content and data you provide are lawful and do not infringe on third-party rights
• Use our deliverables only as agreed and in compliance with applicable law

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary information exchanged during the project, including business, technical, and project-related data.

8. Data Protection

Guha Innovation Lab UG processes personal data in accordance with the GDPR and our Privacy Policy. By engaging with us, you confirm that any data you provide has been lawfully obtained and can be processed by us.

For software or services that involve personal data processing on your behalf, a Data Processing Agreement (DPA) may be required.

9. Warranties & Liability

We warrant that our services are provided with reasonable care and skill. However:

• We do not guarantee that software will be error-free or uninterrupted
• We are not liable for any indirect or consequential damages, including lost profits or data
• Our total liability for any claim is limited to the amount paid by you for the service giving rise to the claim

Nothing in these Terms limits liability for intentional misconduct, gross negligence, or injury to life, body, or health.

10. Third-Party Tools & Dependencies

If our services involve third-party tools, APIs, or open-source libraries:

• We are not responsible for their availability, functionality, or license changes
• You are responsible for complying with any applicable third-party license terms

11. Termination

Either party may terminate the agreement with 14 days’ notice in writing, unless otherwise specified in a project contract.

In case of breach of contract, either party may terminate immediately with cause. Upon termination:

• Work completed to date will be invoiced and must be paid
• All rights not expressly granted to the client will remain with Guha Innovation Lab UG

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Berlin, Germany, unless otherwise required by mandatory law.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14. Changes to Terms

We reserve the right to amend these Terms at any time. Updated versions will be published on our website and will apply to future engagements.
